Louis Vuitton owner faces maximum fine in luxury row

PARIS (Reuters) - A battle between French luxury handbag makers spilled out into the public eye on Friday with market regulators seeking the maximum fine for Louis Vuitton owner LVMH for failing to disclose moves to build a stake in rival Hermes .
The row centres around deals, first disclosed in late 2010, by LVMH owner and France's wealthiest man Bernard Arnault that have left the firm with a roughly one fifth stake in its biggest rival, the producer of the iconic Kelly and Birkin handbags.
Arnault, who has built LVMH by steadily acquiring other brands over the last decade, says he is happy to remain a long-term shareholder while some industry observers say he may be playing a long game in the hope of someday convincing Hermes' family owners to sell out.
Hermes owners have fought tooth and nail against Arnault, however, since discovering LVMH had built up an initial 14 percent stake.
Regulator AMF said on Friday that LVMH's dealings regarding its stake building in Hermes were opaque and represented grave misconduct which could even be regarded as "fraudulent behaviour".
LVMH, which now owns 22.6 percent of Hermes, surprised the stock market in October 2010 when it announced it had a 14 percent stake, gained partly via derivatives that allowed it to not declare its holding.
The AMF said LVMH should have disclosed in its accounts the size of its exposure to Hermes shares through equity derivatives acquired in 2008 as well as the fact it had a Hermes stake of just under 5 percent acquired in 2001 and 2002.
In France, companies are required to disclose when they take a stake worth more than 5, 10 and 15 percent of a another company's capital if the target is listed on the stock market.
Hermes is also challenging LVMH's stake building in a separate court procedure. The AMF finding will not have any impact on the court case, but still represents a boost to Hermes' case.
The amount of the fine, 10 million euros, is small change for a group whose market value is around 70 billion euros but the regulator's decision is a public relations setback for Arnault, who owns some 60 luxury brands.
HERMES ATTRACTION
Arnault owns Louis Vuitton, the world's biggest luxury brand in terms of revenues, together with a string of fine wine and spirits makers including Hennessy cognac and Moet & Chandon champagne.
He has built the group into a global powerhouse in the space of 15 years by acquiring brands including Guerlain and Chateau d'Yquem. Hermes' own spectacular growth into a brand worth over 3 billion euros in annual sales has wetted his appetite.
The hearing revealed that the world's biggest luxury group had as early as 2007 and 2008 mandated Lazard and Rothschild bankers to look into the possibility of acquiring control of Hermes and strike an alliance with some family shareholders.
Since making public its Hermes holding, LVMH has consistently denied seeking control of Hermes and denied any wrongdoing in terms of financial disclosure and transparency.
Hermes is controlled by three families, the Puech, the Dumas and Guerrand who together represent more than 75 descendents of Emile Hermes who founded the company in 1837 as a harness and saddle maker.
They responded to LVMH's stake build-up by creating a holding that controls 51 percent of the company though the AMF's inquiry also disclosed that the biggest Hermes family shareholder Nicolas Puech had sold some of his shares to LMVH.
That puts into question Hermes' public assertion that the family was united in the battle against LVMH.
Earlier on Friday, the AMF said it would look into LVMH's call for the judicial process to be made invalid but it would not halt the process. The AMF's sanctions committee is due to respond within a matter of weeks to the regulator's findings and proposed fine.

The Oscar-winning actress is the creative inspiration for beauty brand Max Factor's new campaigns.
The celebrity blogger shared her beauty essentials and tips for creating a hot and on-trend make-up look.
'I love that cool, slightly undone look you get with a dark, smudgy eye,' Gwyneth told Stylist magazine. 'You see that a lot in London, there's a really cool vibe here at the moment where the look is glam, but a little edgier.'
The star said the key to getting your make-up spot on is to focus on a few signature looks. In her new Max Factor campaign, she worked with make-up artist Pat McGrath to create a modern businesswoman look for the shoot.
'I'm a big fan of a simple red lip teamed with fresh skin, like the businesswoman look in the campaign,' she continued. 'I think it's a strong statement and a really good look for me personally. I change things up on a night out by wearing a smokey eye.'
Gwyneth finished by dispelling the myth that blondes have more fun. The naturally fair actress says in fact being golden haired can be a hindrance to your enjoyment rather than help.
'I don't understand the whole idea of blondes having more fun. I'd say brunettes have more fun as they can go under the radar a little bit more,' she laughed. 'People are just waiting for blondes to get drunk and fall down, because we're so visible.'

Diamond-encrusted abaya worth AED65million on display in Dubai

The world's most expensive abaya - the traditional outer garment worn by Gulf Arab women - valued at a whopping AED65million, has made its way to Dubai.


The abaya is a traditional outer garment worn by Gulf Arab women.
Created by British designer Debbie Wingham, the dazzling design boasts 2,000 stones including a rare and expensive red diamond as its centrepiece.
Her famed black diamond dress made headlines last year for being the most expensive in the world. It was adorned with 50 two carat black diamonds, and weighed 13kg.
Debbie Wingham got her inspiration for the long flowing garment during a trip to Dubai.

Wingham got her inspiration for the long flowing garment during a trip to Dubai in October 2012.
"Dubai has an air of something fabulous and graceful and I found the abaya worn by Arab ladies to be very beautiful," she told Yahoo! Maktoob.
"I was inspired by the texture and flowing movement of the garment and decided I wanted to work on an abaya range."
The design's showpiece is a priceless red diamond - believed to be one of the rarest in the world - which comes from a client's personal collection, the designer said.
The dazzling design boasts 2,000 stones including a rare and expensive red diamond.
"One of my client's has a family collection of rare diamonds and stones and suggested I use it in my creations," she said.
In addition to the priceless gem, the garment is encrusted with 2,000 stones, including white and black diamonds and rubies, giving the dress a "spring effect that brings the stones to life," Wingham explained.
The garment has over 200,000 intricate stitches handmade with 14 carat white gold thread, connecting layering and beading detail giving a unique 3D effect.
Wingham's designs are custom-made with embellishments created in Paris. "All of my pieces are one-off, making each one unique from the other," she said.

CULTURE
The self-taught designer, who has dressed the likes of Kate Winslet and Hilary Swank, last visited the emirate in October to show off her black diamond dress.
At the time, she only featured a western collection but decided she wanted to create something to honour the city she fell in love with.

The famed black diamond dress, which features 50 two-carat black diamonds.
"I wanted to create something that was honourable and respectful of the culture," she said, adding that she is hoping for a lively client base.
"My ultimate plan is to make Dubai my home."
The red diamond abaya will be showcased at Raffles Hotel in Dubai from March 21-25.

It's fair to say RiRi has had a storming 2013 so far, which has included designing her first collection for River Island, making her London Fashion Week debut, covering Rolling Stone and launching a collection with MAC Cosmetics. Wowzer.

Explaining her love of the high-street in an exclusive interview with ELLE UK, Rihanna says, "High-street shops pay more attention to the kids on the street than to the runways, so in a way I like to mix both."

Adding, "I love a high-end bag or jacket with a simple dress. I just thought, I'm going to make something for everybody - every personality, every body type."
